Terms & Conditions
These Terms & Conditions govern all purchases, quotations, and transactions between Royal-Sceptre Company Ltd ("Royal-Sceptre", "we", "us") and our customers across Eastern and Southern Africa. By placing an order you confirm full acceptance of these terms.
Royal-Sceptre has an office in Nairobi, Kenya, and serves clients across East Africa, Uganda, Rwanda, Malawi, Tanzania, Ethiopia, COMESA markets, and the wider Eastern and Southern Africa region.
1. Ordering Process
All orders placed through this website or via written quotation constitute a binding offer subject to stock availability and credit approval. Royal-Sceptre reserves the right to accept or decline any order within 2 business days of receipt. An order is confirmed only upon issuance of a Sales Order Confirmation and receipt of the required deposit or full payment.
Customers must provide accurate contact details, delivery address, and Kenya Revenue Authority (KRA) PIN for VAT purposes. Royal-Sceptre is not liable for delivery failures arising from incorrect information supplied at checkout.
2. Pricing & Payment
All prices are quoted in Kenya Shillings (KES) or US Dollars (USD) and are subject to change without notice until a formal quotation is issued. Quoted prices are valid for 14 calendar days unless otherwise stated. VAT at the prevailing Kenya Revenue Authority rate is added where applicable.
Bank Transfer / EFT
Direct transfers to our Kenyan commercial bank account. Payment reference must match the proforma invoice number. Funds must clear before goods are released.
RTGS
Real-Time Gross Settlement payments accepted for orders above KES 500,000. Confirmation slip required. Same-day clearance enables same-day dispatch where stock is available.
Cheque / MPesa
Cheques subject to 3-working-day clearance. MPesa Paybill accepted for orders up to KES 150,000. Contact our sales team for paybill details.
3. Delivery & Title of Goods
Risk and title in the goods pass to the customer upon delivery and signature of the delivery note. Until full payment is received, Royal-Sceptre retains title to all goods supplied (retention of title clause). Delivery timelines are estimates; Royal-Sceptre is not liable for delays caused by logistics partners, customs, or force majeure events.
4. Returns & Defective Goods
Please refer to our dedicated Returns & Refund Policy for full details. In summary: defective items may be returned within 14 days of receipt; sealed, unopened items within 30 days. Custom-calibrated instruments are non-returnable.
5. Intellectual Property Rights
All content on this website — including product descriptions, technical datasheets, images, and the Royal-Sceptre brand — is the exclusive intellectual property of Royal-Sceptre Company Ltd or its licensors. Unauthorised reproduction, redistribution, or commercial use of any content is prohibited and may attract civil and criminal liability under the Copyright Act (Cap. 130, Laws of Kenya).
Brand names such as UTEST, HIRA, LANGRY, and AIDUNY are trademarks of their respective manufacturers. Their use on this site is solely for product identification purposes.
6. Limitation of Liability
To the fullest extent permitted by Kenyan law, Royal-Sceptre's total aggregate liability in connection with any order shall not exceed the purchase price of the goods giving rise to the claim. We are not liable for indirect, consequential, or economic loss including loss of profit, loss of data, or business interruption.
7. Dispute Resolution
These Terms are governed by and construed in accordance with the Laws of Kenya. The parties agree to attempt resolution by good-faith negotiation within 30 days of any dispute arising. If unresolved, disputes shall be referred to the Nairobi Centre for International Arbitration (NCIA) or the courts of competent jurisdiction in Nairobi, Kenya.
8. Amendments
Royal-Sceptre reserves the right to amend these Terms at any time. The current version published on this website supersedes all prior versions. Continued use of the website or placement of orders after any amendment constitutes acceptance of the revised Terms.
