1. General Agreement

These Terms and Conditions govern all sales, technical consultations, and equipment commissioning services provided by Royal-Sceptre Company Ltd. By initiating a purchase order or accepting a formal quotation, the client agrees to be bound by these commercial terms.

2. Quotations & Pricing

Given the import-dependent nature of specialized engineering equipment, all issued quotations are bound by the following conditions:

• Formal quotations are valid for 30 calendar days from the date of issue.
• Prices are subject to adjustment prior to final invoicing should national currency fluctuations (KES against USD/EUR) exceed 5%.
• Unless otherwise stated, all pricing is exclusive of localized taxes, duties, and cross-border transport fees.

3. Payment Terms

Standard procurement requires a 70% advance payment upon order confirmation to initiate factory dispatch or reserve localized stock, with the remaining 30% balance cleared prior to delivery or upon successful site commissioning, subject to prior contractual agreement.

4. Title & Ownership

The legal title and ownership of all hardware, including but not limited to UTEST, HIRA, LANGRY, and AIDUNY systems, remains strictly with Royal-Sceptre Company Ltd until the final invoice is settled in full. Risk of loss or damage passes to the buyer upon delivery or collection.

5. Intellectual Property

All software, proprietary firmware, and specialized operational manuals provided with our equipment remain the intellectual property of their respective manufacturers. Clients are granted a non-exclusive license to use the software for operational purposes but may not reverse-engineer, duplicate, or distribute these assets.

6. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from cross-border transactions within the EAC shall be subject to the exclusive jurisdiction of the Kenyan courts or an agreed-upon regional arbitration tribunal.
